According to new legal documents filed and obtained by on Wednesday, Hall accuses Oates of committing “the ultimate partnership betrayal” by attempting to sell half of Whole Oats Enterprises LLP’s assets without seeking Hall’s approval.
Whole Oats Enterprises LLP holds the rights to Hall & Oates’ trademarks, personal names and likenesses, royalty income, and certain social media and related website assets, as outlined in the filing.
Hall asserts in a declaration filed on Wednesday that Oates “falsely” claimed his desire to maintain ownership in Whole Oats Enterprises LLP. The “bad faith conduct,” as described by Hall, has resulted in “tremendous upheaval, harm, and difficulty” in his life, along with unnecessary expense and burden.
In response, Oates filed a declaration denying Hall’s accusations, stating that they are “not true,” according to a copy of the filing obtained.
Last week, Hall initiated legal action by filing a temporary restraining order (TRO) against Oates in Nashville’s chancery court, citing a “contract/debt” dispute. The court granted Hall’s motion for the TRO on Friday, but the case remained sealed until this week’s new legal filings, revealing the nature of the allegations.
With a musical history spanning decades, Hall & Oates first crossed paths in the 1960s in Philadelphia, achieving fame with 29 Top Forty hits from 1976 to 1990, according to the Rock & Roll Hall of Fame. The duo experienced significant success in the early 1980s with chart-toppers like “Private Eyes” and “Maneater.”
